publicadministration,(ii)financiallyautonomousandnotreceivinganysignificantsubsidiesorbudgetsupport
fromanypublicentityorGovernment,and(iii)operatingundercommerciallawandvestedwithlegalrightsand
liabilitiessimilartoanycommercialenterprisetoenableitcompetewithfirmsintheprivatesectoronanequal
basis.
3.9 AFirmsandindividualsmaybeineligibleiftheircountriesoforigin(a)asamatteroflaworofficialregulations,
Kenyaprohibitscommercialrelationswiththatcountry,or(b)byanactofcompliancewithadecisionofthe
UnitedNationsSecurityCounciltakenunderChapterVIIoftheCharteroftheUnitedNations,Kenyaprohibits
anyimportofgoodsorcontractingofworksorservicesfromthatcountry,oranypaymentstoanycountry,
person,orentityinthatcountry.Atenderershallprovidesuchdocumentaryevidenceofeligibilitysatisfactoryto
theProcuringEntity,astheProcuringEntityshallreasonablyrequest.
3.10 Foreigntenderersarerequiredtosourceatleastforty(40%)percentoftheircontractinputs(insupplies,
subcontractsandlabor)fromnationalsuppliersandcontractors.Tothisend,aforeigntenderershallprovideinits
tenderdocumentaryevidencethatthisrequirementismet.Foreigntenderersnotmeetingthiscriterionwillbe
automaticallydisqualified.InformationrequiredtoenabletheProcuringEntitydetermineifthisconditionismet
shallbeprovidedinforthispurposeisbeprovidedin“SECTIONIII-EVALUATIONANDQUALIFICATION
CRITERIA,Item9”.
3.11 PursuanttotheeligibilityrequirementsofITT4.10,atenderisconsideredaforeign tenderer,ifthetendereris
notregisteredinKenyaorifthetendererisregisteredinKenyaandhaslessthan51percentownershipbyKenyan

Citizens.JVsareconsideredasforeigntenderersiftheindividualmemberfirmsarenotregisteredinKenyaorif
areregisteredinKenyaandhavelessthan51percentownershipbyKenyancitizens.TheJVshallnotsubcontract
toforeignfirmsmorethan10percentofthecontractprice,excludingprovisionalsums.
3.12 TheNationalConstructionAuthorityActofKenyarequiresthatalllocalandforeigncontractorsberegistered
withtheNationalConstructionAuthorityandbeissuedwithaRegistrationCertificatebeforetheycanundertake
anyconstructionworksinKenya.Registrationshallnotbeaconditionfortender,butitshallbeaconditionof
contractawardandsignature.Aselectedtenderershallbegivenopportunitytoregisterbeforesuchawardand
signatureofcontract.ApplicationforregistrationwithNationalConstructionAuthoritymaybeaccessedfrom
thewebsitewww.nca.go.ke.
3.13 TheCompetitionActofKenyarequiresthatfirmswishingtotenderasJointVentureundertakingswhichmay
prevent,distortorlessencompetitioninprovisionofservicesareprohibitedunlesstheyareexemptin
accordancewiththeprovisionsofSection25oftheCompetitionAct,2010.JVswillberequiredtoseekfor
exemptionfromtheCompetitionAuthority.Exemptionshallnotbeaconditionfortender,butitshallbea
conditionofcontractawardandsignature.AJVtenderershallbegivenopportunitytoseeksuchexemptionasa
conditionofawardandsignatureofcontract.ApplicationforexemptionfromtheCompetitionAuthorityofKenya
maybeaccessedfromthewebsitewww.cak.go.ke
3.14 AKenyantenderershallprovideevidenceofhavingfulfilledhis/hertaxobligationsbyproducingavalidtax
clearancecertificateortaxexemptioncertificateissuedbytheKenyaRevenueAuthority.
4. EligibleGoods,Equipment,andServices
4.1 Goods,equipmentandservicestobesuppliedundertheContractmayhavetheirorigininanycountrythatisnot
eligibleunderITT3.9.AttheProcuringEntity'srequest,Tenderersmayberequiredtoprovideevidenceofthe
originofGoods,equipmentandservices.
4.2 Anygoods,worksandproductionprocesseswithcharacteristicsthathavebeendeclaredbytherelevantnational
environmentalprotectionagencyorbyothercompetentauthorityasharmfultohumanbeingsandtothe
environmentshallnotbeeligibleforprocurement.
5. Tenderer'sResponsibilities
5.1 Thetenderershallbearallcostsassociatedwiththepreparationandsubmissionofhis/hertender,andthe
ProcuringEntitywillinnocaseberesponsibleorliableforthosecosts.
5.2 Thetenderer,atthetenderer'sownresponsibilityandrisk,isencouragedtovisitandexaminetheSiteofthe
Worksanditssurroundings,andobtainallinformationthatmaybenecessaryforpreparingthetenderand
enteringintoacontractforconstructionoftheWorks.ThecostsofvisitingtheSiteshallbeatthetenderer'sown
expense.
5.3 TheTendererandanyofitspersonneloragentswillbegrantedpermissionbytheProcuringEntitytoenterupon
itspremisesandlandsforthepurposeofsuchvisit.TheTenderershallindemnifytheProcuringEntityagainstall
liabilityarisingfromdeathorpersonalinjury,lossofordamagetoproperty,andanyotherlossesandexpenses
incurredasaresultoftheinspection.
5.4 ThetenderershallprovideintheFormofTenderandQualificationInformation,apreliminarydescriptionofthe
proposedworkmethodandschedule,includingcharts,asnecessaryorrequired.
